Praex — Terms of Service

1. Who you're dealing with
These terms are a contract between you and Lucius AI Systems, Inc ("Lucius", "we"). "Praex" means the services at praex.ai, the Praex apps and CLI, and the Praex API. Card statements show PRAEX.
2. Eligibility
You must be 18 or older, able to enter a contract, and not barred from using US services under export or sanctions laws.
3. Accounts
Keep your sign-in and any API keys to yourself; activity under your account is yours. We may suspend accounts that violate the Acceptable Use Policy, which is part of these terms.
4. Plans and billing
- Free — daily usage allowance, no card required.
- Pro and Max — monthly subscriptions, billed by Stripe, auto-renew until you cancel; cancellation takes effect at the end of the billing cycle.
- Prices can change with 30 days notice. Taxes are extra where applicable. No refunds for partial months except where the law requires them (EU consumers: see section 13).
5. Your content
You own your inputs and your outputs. We do not train models on your chats or API content. We process your content only to run the service — see the Privacy Policy for exactly what is stored.
6. Our IP
The Praex models, brand, apps, and services remain ours. Open-source components remain under their own licenses.
7. The honest disclaimer
Outputs are generated by statistical models and can be wrong. They are not medical, legal, or financial advice from a licensed professional. The service is provided "as is" to the maximum extent the law allows, and we don't promise uninterrupted availability — on-demand models in particular can take time to come online or be temporarily unavailable.
8. Liability
To the extent the law allows, our total liability is capped at the fees you paid us in the 12 months before the claim, and neither side is liable for indirect or consequential damages.
9. Indemnity
If your breach of the AUP causes a third-party claim against us, you cover it.
10. Leaving and termination
You can stop using Praex and cancel anytime. We can terminate for breach, with notice where practicable.
11. Changes
We'll give 30 days notice of material changes to these terms; continued use after that is acceptance.
12. Law and disputes
These terms are governed by Delaware law, and disputes belong to the state or federal courts of Delaware — except where your local consumer law says otherwise (section 13).
13. Consumer rights
If you are a consumer in a jurisdiction whose mandatory law gives you stronger rights (the EU/EEA in particular — including withdrawal rights and local venue), nothing in these terms limits those rights.
14. Assignment
We may assign these terms in connection with a merger or sale of the business or of the Praex product line; your rights under them stay intact.
15. Beta features
Anything labeled beta or preview may change or disappear and carries no availability commitments.
16. Copyright
Copyright complaints about user-shared content: email davor@praex.ai with the material, its location, and your contact details; we operate a notice-and-takedown process and a repeat-infringer policy.
17. The boilerplate
If a clause is unenforceable the rest stand; not enforcing a clause once doesn't waive it; these terms plus the AUP and Privacy Policy are the entire agreement; sections that by their nature survive termination survive it.
